Terms of Service

Fyte IQ™ is a service operated by Martial Nexus Media LLC, a California limited liability company (“Company”, “we”, “our”, or “us”). By accessing or using Fyte IQ (the “Service”), you (“User”, “you”) agree to these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree, do not use the Service. Fyte IQ™ is a trademark of Martial Nexus Media LLC, registration pending.

You must be at least 16 years old to create an account. If you are under 18, you represent that a parent or legal guardian has reviewed and accepted these Terms on your behalf. The Service is not directed at children under 13, and we do not knowingly collect data from them.

• You are responsible for maintaining the confidentiality of your credentials.
• You agree not to share your account or transfer it to another person.
• You agree to provide accurate information and to keep it up to date.
• We may suspend or terminate accounts that violate these Terms or abuse the Service.

You agree not to:

• Reverse-engineer, scrape, or use automated tools against the Service except as expressly permitted.
• Impersonate another person, fabricate fight records, or falsify lineage claims.
• Upload content you do not have the right to share, or content that is harassing, defamatory, illegal, or infringes third-party rights.
• Use the Service to harass, threaten, or stalk others.
• Interfere with the Service’s operation or attempt to circumvent security measures.
• Resell access to the Service without our written permission.

Paid plans (Pro, Power, Coach, Gym, Promotion, Federation, Enterprise) are billed on a recurring basis unless otherwise specified. The Founders Tier is a one-time payment that includes 24 months of Power-tier benefits; after the 24-month window your account will roll to the standard Power-tier subscription at the rate in effect at that time, which you may cancel at any point before that.

Auto-renewal disclosure (California): Recurring subscriptions auto-renew until you cancel. You can cancel at any time from your account settings; cancellation takes effect at the end of the current billing period.

Refunds: All charges are non-refundable except as required by applicable law. For monthly plans, you retain access through the end of the period you paid for. For annual plans, we do not pro-rate refunds for early cancellation. Founders Tier payments are non-refundable after seven (7) days from the date of payment.

We may change prices for new plans or new signups at any time. Existing subscribers will be given at least 30 days’ notice before any price increase to their plan.

You retain ownership of the content you submit (profile data, fight records, journal entries, photos, training logs — collectively, “User Content”). By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to host, store, process, display, and use it only as necessary to operate, improve, and provide the Service.

We may use aggregated and de-identified data derived from User Content for research, analytics, product development, and publication. Aggregated data does not include personally identifiable information.

Lineage links, gym affiliations, and instructor relationships are subject to a verification flow. Other users (notably instructors) may accept, deny, or verify links you create that involve them. You agree that other practitioners may publicly view information you mark as public, including profiles, martial arts practiced, lineage, gyms, fight records, and accolades.

The Service may collect training, sparring, and biometric data (including data you sync from devices or apps such as Apple Health). FyteIQ is a fitness and lifestyle product, not a medical device. Nothing in the Service is medical advice. Always consult a qualified physician before changing your training, diet, or recovery practices.

You can export or delete your training data at any time by contacting us.

The Service’s software, branding, design, and aggregated data are owned by Martial Nexus Media LLC or its licensors. These Terms do not transfer any of those rights to you. You may not copy or reproduce them outside of fair-use bounds without permission.

You may delete your account at any time. We may suspend or terminate your account for violations of these Terms, fraud, or non-payment. On termination, your right to use the Service ends immediately, but copies of public content (e.g. lineage, fight records) may persist on the Service unless removed by request.

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy of data.

To the maximum extent permitted by applicable law, Martial Nexus Media LLC and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of your use of the Service. Our total liability for any claim arising out of or relating to these Terms is limited to the greater of (a) the amount you paid us in the twelve (12) months before the claim, or (b) one hundred dollars (USD $100).

You agree to indemnify and hold harmless Martial Nexus Media LLC from any claims, damages, or expenses (including reasonable attorneys’ fees) arising from your User Content, your use of the Service in violation of these Terms, or your violation of any third-party right.

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in San Diego County, California, and you consent to personal jurisdiction there.

Class action waiver: To the extent permitted by law, you and we waive the right to participate in any class or representative action against the other.

We may update these Terms from time to time. Material changes will be communicated via email or in-app notice. Continued use after the effective date of an update constitutes acceptance of the updated Terms. We will record the version you accepted at signup and may prompt for re-acceptance after material changes.
